Competition Law

We represent companies in merger control proceedings and proceedings involving allegations of violations of the prohibition of cartels and the prohibition of abuse of market power. We also advise companies on an ongoing basis on antitrust issues, such as in particular the conclusion of distribution and cooperation agreements or the formation of bidding consortia.

In the area of unfair competition law, we focus on examining the permissibility of business practices. A particular focus is on the examination of sales activities and advertising measures under unfair competition law, the preparation of expert opinions and statements under unfair competition law as well as the judicial and extrajudicial enforcement and defense against unfair competition claims against or by competitors.

We also advise on the development, implementation and review of compliance structures.

Our expertise in Competition Law

We review antitrust notification requirements, prepare merger notifications to the Austrian Federal Competition Authority and the European Commission, and coordinate merger notifications and merger control proceedings in jurisdictions outside of Austria.

We represent companies in proceedings involving allegations of violations of the ban on cartels and the ban on abuse of market power.

We provide comprehensive advice to energy companies on REMIT (Regulation on Wholesale Energy Market Integrity and Transparency), in particular on the prohibition of insider trading and market manipulation.

We draft and review all types of distribution agreements (e.g. commission agreements, supply agreements, authorized dealer agreements, franchise agreements) – also – taking into account the strict requirements of Austrian and European antitrust law. 

Representation in the context of the judicial enforcement or defense of legal claims.

Preventive examination of sales activities and advertising measures for their admissibility under unfair competition law, including carrying out risk assessments and presenting alternative solutions.

Waldviertler Sparkasse Bank AG transferred its Czech retail and corporate customer business to Česká spořitelna, a.s. as of January 1, 2021. The sale was approved by the relevant national competition authorities in four countries and the Czech National Bank.
